Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SupplierSignal website and services (the "Service") operated by SupplierSignal ("we," "us," or "our"), a Wyoming company. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Description of Service

SupplierSignal is a product research platform designed for Amazon FBA sellers. The Service helps you discover potential suppliers on Alibaba by:

• Matching Amazon products with potential Alibaba suppliers using image similarity
• Aggregating publicly available supplier and product data
• Providing filtering and analysis tools for supplier evaluation
• Generating profitability estimates based on your input parameters

The Service is a research tool only. We do not facilitate transactions between you and any supplier, and we are not a party to any agreement you may enter with suppliers.

2. Account Registration & Security

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to use the Service. Accounts are for individual use only and may not be shared with others. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription & Payment Terms

Billing

The Service is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selected plan). Subscription fees are billed in advance at the beginning of each billing period.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period. Continued use of the Service after a price change constitutes acceptance of the new price.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until your paid period expires. We do not provide prorated refunds for partial billing periods.

Refunds

If you are unsatisfied with the Service, you may request a refund within 7 days of your initial subscription purchase. Refund requests after this period are at our sole discretion. To request a refund, contact us at the email address below.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You may not:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of others
• Use automated scripts, bots, or scrapers to extract data from the Service beyond normal use
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Resell, redistribute, or commercially exploit the Service or data obtained through it without our written consent
• Use the Service to harass, abuse, or harm others
• Circumvent any usage limits, rate limits, or access controls

We reserve the right to suspend or terminate your account for violations of this Acceptable Use Policy without refund.

5. Intellectual Property

Our Property

The Service, including its design, features, code, algorithms, and branding, is owned by SupplierSignal and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription period.

Your Data

You retain ownership of any data you input into the Service (such as ASINs, keywords, and filter preferences). By using the Service, you grant us a license to use this data to provide and improve the Service. Research results generated by the Service based on your inputs are provided for your use under your subscription, but the underlying algorithms and methods remain our property.

6. Third-Party Services & Platform Disclaimer

SupplierSignal is not affiliated with, endorsed by, or partnered with Amazon, Alibaba, or any other third-party platform. We aggregate publicly available information from these platforms to provide our research services.

You acknowledge that:

• Amazon, Alibaba, and related names and logos are trademarks of their respective owners
• Third-party platform data may change at any time without notice to us
• We have no control over the accuracy, availability, or policies of third-party platforms
• Your use of any third-party platform is subject to that platform's own terms of service

7. Data Accuracy & Research Disclaimer

The Service provides research tools and data aggregation for informational purposes only. You acknowledge and agree that:

• No Guarantees: We do not guarantee the accuracy, completeness, or timeliness of any data, including supplier information, pricing, MOQs, or product details
• Supplier Classification: Our factory vs. trading company classifications are algorithmic estimates based on available data and may not reflect actual business structures
• Profitability Estimates: Any profitability calculations are estimates based on your inputs and publicly available data; actual results may vary significantly
• Image Matching: Product matching is based on image similarity algorithms and does not guarantee that matched products are identical or from the same manufacturer
• Your Responsibility: All sourcing and purchasing decisions are solely your responsibility. Always verify information directly with suppliers before making commitments

We strongly recommend conducting your own due diligence, including supplier verification, sample orders, and quality inspections before placing bulk orders.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICE OR DECISIONS MADE BASED ON SUCH INFORMATION
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless SupplierSignal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your business dealings with any suppliers discovered through the Service.

11. Termination

By You: You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Informal Resolution: Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction: Any disputes arising from these Terms or the Service that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to the personal jurisdiction of these courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SupplierSignal regarding the Service
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction
